In providing general business law advice and representation, Anderson PLC:

  • Advises on the selection of entity form, forms and organizes the entity, and drafts required and recommended entity records
  • Counsels on state and / or federal government licensing and approval requirements, where applicable
  • Counsels on, and drafts documentation relating to, ownership and governance structures, including with respect to arrangements among founders, initial investors, and principals, including through drafting, reviewing, and negotiating operating agreements, limited partnership agreements, buy-sell agreements, shareholder rights agreements, voting agreements, and other contracts
  • Advises on board composition and selection, committees, and appropriate governance policies and procedures
  • Reviews, drafts, analyzes, and negotiates bootstrap, seed, angel, and other documentation relating to the initial and ongoing capitalization of the business, including private placement memoranda, confidentiality agreements, non-disclosure agreements, term sheets, letters of intent, and credit agreements
  • Reviews, analyzes, and revises investor presentations and related materials
  • Reviews, drafts, analyzes, and negotiates licensing agreements and other contracts to protect the client’s intellectual property
  • Reviews, drafts, analyzes, and negotiates executive and other employment agreements, employee non-disclosure, non-competition, non-solicitation, and non-hire covenants, work-for-hire agreements, and deferred compensation documentation, and develops and drafts new employee onboarding policies and procedures
  • Reviews, drafts, analyzes, and negotiates a wide variety of commercial contracts, including procurement contracts, supply and fulfillment contracts, general sale and purchase terms, product development and joint development agreements, consulting agreements, strategic alliances, professional services agreements, and equipment leasing agreements
  • Reviews, drafts, analyzes, and negotiates product distribution and sales agreements, including marketing, co-promotion, and co- and joint marketing agreements, co-branding agreements, national and regional advertising and marketing service agreements, and sales, solicitation, and commission and referral agreements
  • Reviews, drafts, analyzes, and negotiates outsourcing agreements, including pricing schedules, practical, realistic, and measurable service level / service credit methodologies, termination / exit rights and duties, limitations of liabilities, indemnities, pricing protection covenants and price modification procedures, dispute resolution, and other provisions
  • Designs, develops, and advises on risk management programs to prevent, detect, remediate, and mitigate violations of laws and regulations
  • In relation to strategic transactions, reviews, drafts, analyzes, and negotiates due diligence requirements, processes, and documentation; confidentiality and non-disclosure documents, term sheets, letters of intent, and definitive transaction documentation, including stock purchase agreements, asset purchase agreements, asset sale agreements, unit or divisional divestiture agreements, spin-off transaction documentation, joint venture agreements, minority investment agreements, and related schedules and exhibits; advises on obtaining regulatory approvals; and designs and develops post-closing management, operational, and risk management integration plans
  • Complements the client's management team by serving as virtual general counsel, acting as a senior and extended member of the team and participating in board-level discussions, where requested and appropriate
